Consultant / Senior Consultant with Transaction Services, Financial Due Diligence group

The team is an integral part of our wider M&A offering and you will closely cooperate with Strategy / Commercial, Corporate Finance and Taxation groups.Our expansion provides excellent opportunities for personal growth. What we do: Buy-side financial due diligence on targets for leading (inter)national corporate and Private Equity firms on large and medium M&A transactions or mergers Vendor due diligence for companies up for sale Due diligence assistance in IPOs Analysis of target companies business plans in light of due diligence findings Supporting clients in share-purchase agreements drafting and negotiations Assistance in business restructuring processes Opportunities: Getting exposure to top tier M&A deals that make headlines in Vedomosti and Forbes Gaining accounting experience and transaction experience at the same time Working in multidisciplinary transaction services teams in a true team spirit environment with Western corporate culture Very steep learning curve, trainings (in Moscow and in Central Europe) and on the job coaching Good career perspective, growth and the potential to work abroad to gain international experience Ability to gain different M&A experience by short term internal secondments within Deals group Learning how different businesses operate in different parts of Russia and CIS Obtaining professional qualifications (e.g. CFA or ACCA), fully sponsored by PwC General description of your role: Analyze historical business performance, key performance indicators trends and understand the business drivers Understand the companies financial position, leverage and other balance sheet exposures Understand the major differences between company s statutory financial statements, management accounts and IFRS / US GAAP; their impact on transaction Analyze the sustainable profitability and normal financial position, advise how the results should be used in valuation Advise on treatment of due diligence findings in valuation and negotiations, deal documents Analyze the quality of the business plan in light of the due diligence findings Education, experience and skills requirements: Excellent analytical skills - demonstrating evidence of being highly numerate and intelligent Strong academics: university degree, preferably economics or mathematics or accounting 2+ years of experience in auditing or accounting or transaction support Knowledge of IFRS or US GAAP and Russian GAAP Fluent in Russian and English Studying ACCA / CPA / CFA is an advantage Understanding of financial modelling is an advantage Good overall awareness of the Russian economy and market is an advantage Soft skills: Ability to deliver excellent client service, being result oriented Curios mind and energetic personality Flexible approach to working, including ability to multi-task and to work in teams with flat structures Proven ability to acquire new skills quickly Strong presentation skills Strong communication skills, ability to interview people at the middle level in organizations (Chief accountant, operational heads) Willingness to travel (Russia and abroad) Business writing skills (both in Russian and in English) Team player
