SIME is a new established subsidiary of Sberbank based in the Abu Dhabi Global Markets. SIME is recruiting for a lawyer to be responsible for all the legal aspects of the office as well as certain compliance matters, especially those related to sanctions.

Job Description

Legal - Transactions• prepare and review legal documents for investment transactions including confidentiality agreements, letters of intent and other pre-contractual documents;• serve as the internal point of contact between SIME and external law firms, in order to supervise their work and ensure timely action on all legal matters such as the preparation of binding documents, obtaining regulatory approvals as well as corporate approvals and the closing of transactions;• conduct due diligence from the legal, judicial and regulatory perspective;• review agreements for co-investments and syndications from a legal perspective and recommend modifications, as required;• organize the workflow and archive storage of transaction documents;• prepare internal approvals and other internal company documents, ensuring they adherence with SIME’s norms and guideline.

Islamic Finance

• perform all of the stated functions in sharia compliant transactions;• coordinate the work of external Sharia qualified lawyer to review transaction structures are compliant with Shariah requirements;• secure approval from the Shariah Board for prospective transactions/projects;• stay abreast of new modes of Islamic Finance.

Compliance

• identify and manage compliance risks, initially together with third party provider;• ensure SIME compliance with all applicable regulations (resolution of conflicts of interest, prevention of bribery and corruption, prevention of insider trading, AML law, compliance with any economic sanctions, data protection, etc.);• stay up-to-date on all sanction-related matters by working closely with sanction compliance colleagues in PJSC Sberbank;• interact with clients/investors/counterparties re sanction related matters, including on specific transactions;Specific Skills and Expertise• knowledge of the legal aspects of structuring and preparing mergers and acquisitions (M&A), financing and private equity transactions;• understanding of the basics of English law with specifics of UAE and ADGM laws;• fluency in spoken and written English and Russian (including professional legal terminology);• knowledge of Arabic is an additional plus;• knowledge of the basics of Islamic finance is preferable;• strong analytical and interpersonal skills;• ability to work in a start-up environment with minimal structure and supervision;• experience of interacting with investors.
