Legal Associate


Aquila Capital Group, an independent privately-owned investment banking service provider and a private equity firm, is looking for a legal associate who will strengthen our legal team responsible for high-quality and timely professional support of the full range of M&A and PE activities.







Description

Aquila Capital Group (hereinafter “ACG”) is an independent privately-owned investment banking service provider and a private equity firm having over 17 years of M&A advisory and investment management track record in Russia & the CIS. ACG runs а private equity fund whose investment strategy is focused on technologically advanced industrial assets, including machinery, oil & gas and other industries.

The successful candidate will strengthen our legal team responsible for high-quality and timely professional support of the full range of M&A and PE activities. The legal associate will report directly to the General Counsel, a native of the legal profession starting his career with US-based international law firms and one of the biggest Russian privately-owned investment banks.

 

Requirements:

  • 3-7 years of proven relevant professional experience gained at ILFs and/or reputable Russian law firms, major investment banking service providers, private equity funds, family offices, investment banks and/or large industrial holdings;
  • excellent knowledge of Russian corporate and contract law;
  • keen understanding of common law jurisdictions and practices applied to M&A and PE transactions, debt financing and restructuring, corporate governance and administration;
  • good command of English, advanced knowledge of professional legal terminology;
  • understanding of fundamental M&A and PE concepts and processes, ability to structure relevant legal documentation: non-disclosure agreements, letters of intent, process letters, non-binding/binding offers, term sheets, sale and purchase agreements, shareholders agreements, licensing agreements;
  • excellent communication skills, ability to negotiate;
  • strong analytical skills, attention to detail (both legal and business-related), ability to identify and mitigate legal risks;
  • willingness to work under pressure and meet deadlines.
