Legal Counsel at VC Fund

An International VC firm with a Luxembourg-based VC fund under management focused on late-stage tech companies from US/EU is looking for a Legal Counsel to support the fund’s team in the deal execution process, general legal strategy development and implementation, and other legal matters.

Responsibilities

•  Full-circle legal support  VC transactions (either independently or with the help of outside advisors): deal structuring, DD, drafting, and reviewing of various transaction documentation (TS, SPA, SHA, CLA, etc.) under English law
•  Lead legal processes related to establishing new alternative investment funds in Luxembourg and other jurisdictions
•  Manage legal processes related to setting up new legal entities in various jurisdictions (Luxembourg, US, others), meeting regulatory requirements, opening bank and other accounts
•  Review, structure, and negotiate private investment agreements, including limited partnership agreements, private placement memorandums, subscription agreements, side letters, and related documentation
•  Participate in the development and assessment of the general legal strategy for a group of companies
•  Implementing corporate restructurings and various corporate procedures as part of general legal strategy
•  Support the legal side of investors' onboarding process and update related legal procedures
•  Maintain existing relations and establish new ones with external counterparties such as legal counsels, administrators, regulations, banks, and others 
•  Searching, overseeing, and coordinating the work of outside counsels as well as managing relationships with existing ones
•  Provide timely and accurate legal analysis of relevant regulations and advise the investment team on the legal and regulatory aspects
•  Identification of various legal risks, assessment and development of mitigation strategy
•  Assist with general legal and regulatory matters

Requirements

•  Relevant experience of 3-6 years in an ILF / RULF / Boutique legal firm / Investment firm / International corporation
•  Law degree from a reputable university
•  In-depth understanding of principles and main concepts of English law
•  Experience in primary/secondary VC transactions
•  Experience in Luxembourg AIF law and Luxembourg/European AIF regulation as a plus
•  Experience in setting up fund entities, managing companies, and SVs in Luxembourg/EU/US as a plus
•  Experience in securitization and structured notes development and issuance as a plus
•  Fluent in English, including legal terminology
•  Strong communication skills (written and verbal) and ability to work independently but collaboratively in a collegial, team-oriented environment
•  Outstanding analytical and problem-solving skills
•  Strong intellectual curiosity, detail-oriented, thoroughness, and strong ownership of work
•  Ability to handle multiple tasks in an ever-shifting and dynamic environment as well as strong organizational skills
